Terms of Service

Plain-language summary. Immigr8 provides a foreign transcript evaluation platform for U.S. school districts. The district owns its student data; we hold it as a "school official" under FERPA. We bill the district, not students or parents. Final placement decisions are the district's responsibility — we provide recommendations, not directives. Governing law is Texas.
1. Acceptance
By accessing or using the Immigr8 platform ("Service") under your district's contract with Immigr8, Inc. ("Immigr8," "we"), you (the "User") agree to these Terms of Service ("Terms"). Districts that sign Immigr8's Master Services Agreement (MSA) and Data Processing Addendum (DPA) bind their educators to these Terms as a condition of platform access.
2. Services we provide
Immigr8 offers:
- Self-service portal for districts to review foreign transcripts using our curated country-specific guides.
- Staff-assisted evaluation where Immigr8 evaluators process transcripts on the district's behalf.
- Foreign transcript manuals covering 34 countries (currently, with expansion planned).
- Training for educators on foreign-record interpretation and Texas LAS/ACTFL calibration.
The Service includes AI-assisted draft mappings (reviewed by human evaluators) and human-reviewed final evaluations. See our Privacy Policy for AI disclosure details.
3. Accounts and access
3.1 Account creation
District administrators create accounts for their educators via the platform or via Immigr8 onboarding. Users must provide accurate registration information and keep credentials confidential. Each User is responsible for activity under their account.
3.2 User roles
The platform supports these roles:
- Platform admin / Platform team — Immigr8 staff; access scoped to support operations.
- District admin — district leader; manages district account, billing, and educator accounts.
- District team — district educator with full evaluation access within the district.
- Campus admin / Campus team — campus-level access, scoped to a specific campus.
- Reporting — read-only access to district metrics.
3.3 Account suspension
We may suspend or terminate an account that materially violates these Terms, with notice to the district admin where reasonable. Non-payment after 30 days past due is a material breach.
4. Acceptable use
Users may not:
- Use the Service for unlawful purposes or in violation of FERPA, COPPA, or any applicable privacy law.
- Upload records of students the district is not authorized to process (i.e., students of other districts or non-enrolled prospects without consent).
- Attempt unauthorized access, scan our infrastructure, or interfere with platform operations.
- Resell, redistribute, or relicense the Service or its outputs to third parties without written permission.
- Use the Service to develop a competing product.
- Extract Immigr8's curriculum guides, country-specific mapping rules, or other proprietary content for distribution outside the district.

5. Intellectual property
5.1 Immigr8's IP
Immigr8 owns the platform, the country-specific evaluation rules and curriculum guides, the AI-assisted mapping pipeline, the user interface, and all software, documentation, and trademarks associated with the Service.
5.2 District's data
The district retains ownership of all Student Data submitted to the platform. Immigr8 holds Student Data as a processor and school official under FERPA, with the rights and duties described in our Privacy Policy and in the executed DPA.
5.3 License to use evaluations
Final evaluations produced by Immigr8 are licensed to the contracting district for unlimited internal use, including sharing with the student, parents, receiving district (if the student transfers), and state reporting authorities as required by Texas law. The district may not republish Immigr8 evaluations for external commercial use without permission.
5.4 Feedback
If you provide suggestions or feedback about the Service, Immigr8 may use that feedback to improve the product without compensation.
6. Fees and payment
- Plan tiers: Site Access, Transcript & Tech Support, and Full Service — pricing per district size band as published on our marketing site.
- Annual billing: subscriptions are billed annually in advance via Stripe.
- Evaluation credits: per-evaluation credits may be purchased separately for districts on Site Access tier.
- Late payment: invoices unpaid after 30 days may result in service suspension; after 60 days, in account termination.
- Refunds: all plans include a 30-day money-back guarantee from the initial contract date. After 30 days, fees are non-refundable except where required by law.
- Renewal: annual contracts auto-renew at the then-current rate unless either party gives 30 days' written notice before the renewal date.
7. AI-assisted evaluation disclosure
Immigr8 uses AI (Anthropic Claude) to produce a draft course-mapping that an Immigr8 human evaluator reviews and approves before the final evaluation is delivered. Users should be aware that:
- AI drafts are flagged in the platform UI and are not the final evaluation.
- The district is responsible for the final placement decision; Immigr8's evaluation is a recommendation aligned to U.S. standards.
- AI processing is subject to Anthropic's zero-data-retention configuration on our workspace, as detailed in the Privacy Policy.
8. Data ownership, return, and destruction
The district may export its Student Data and evaluation outputs from the platform at any time in CSV or PDF format. Upon contract termination:
- The district may request return of all Student Data in machine-readable format within 30 days of termination.
- After 90 days post-termination, Immigr8 will destroy remaining Student Data and provide a written certificate of destruction on request.
- Audit logs and billing records are retained per Section 5 of the Privacy Policy and are not deletable.
9. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IMMIGR8 DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVALUATIONS WILL MATCH THE OUTCOME OF ANY SPECIFIC ACADEMIC PLACEMENT DECISION.
Final academic placement decisions are the responsibility of the contracting district. Immigr8's evaluations are recommendations, not directives.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- IMMIGR8'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY THE DISTRICT TO IMMIGR8 IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
- THESE LIMITS DO NOT APPLY TO: (a) IMMIGR8'S OBLIGATIONS UNDER THE DPA; (b) BREACH OF CONFIDENTIALITY; (c) WILLFUL MISCONDUCT; OR (d) ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
11. Indemnification
Each party will indemnify the other against third-party claims arising from its material breach of these Terms, subject to (a) prompt written notice, (b) reasonable cooperation, and (c) the indemnifying party's control of the defense and settlement. Cyber-liability and E&O insurance coverages are maintained by Immigr8; certificates of insurance are available on request.
12. Term and termination
- These Terms remain in effect for the duration of the district's subscription.
- Either party may terminate for material breach if the other party fails to cure the breach within 30 days of written notice.
- On termination, all access rights end and Section 8 data return/destruction applies.
- The provisions that by their nature survive termination (IP, limitation of liability, governing law, confidentiality) survive.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Disputes will be resolved as follows:
- Informal resolution first: the parties will attempt to resolve any dispute through good-faith negotiation for 30 days before initiating formal proceedings.
- Venue: any unresolved dispute will be brought in the state or federal courts located in Travis County, Texas, and the parties consent to the personal jurisdiction of those courts.
- Class action waiver: claims must be brought in an individual capacity; class actions are waived to the extent permitted by law.
14. DMCA notice
If you believe content on the Immigr8 platform infringes your copyright, send a DMCA notice to legal@immigr8.net with: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material with sufficient detail to locate it; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on the copyright owner's behalf; and (f) your physical or electronic signature. We will respond consistent with 17 U.S.C. §512.
15. Modifications to these Terms
We may update these Terms when our practices change or when laws require. Material changes will be announced via email to district admins at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
16. Entire agreement
These Terms, together with the Privacy Policy and the executed MSA + DPA between Immigr8 and the contracting district, constitute the entire agreement between the parties regarding the Service. In the event of conflict, the MSA and DPA prevail.

SMS notifications program
Immigr8 offers optional SMS notifications ("Immigr8 evaluation notifications") to school district staff who opt in inside the Immigr8 application: a district administrator enables SMS notifications for their district, and staff provide a contact phone number on the transcript submission form. Consent to receive SMS is not a condition of any purchase.
- Program description: transactional notifications that a transcript evaluation is ready in the Immigr8 portal. No marketing messages.
- Message frequency: varies with evaluation activity.
- Fees: message and data rates may apply per your carrier plan.
- Opt out: reply STOP to any message to cancel. Reply START to resubscribe.
- Help: reply HELP or contact support@immigr8.net.
- Carriers are not liable for delayed or undelivered messages.
- How we handle mobile data is described in our Privacy Policy — mobile opt-in data is never shared with third parties for marketing.
